What Is a Toxic Board Member?

  • 2 min reading time

A toxic board member is someone whose repeated behavior disrupts meetings, creates tension or makes it harder for the board to communicate and make decisions effectively.

The full breakdown:

Toxic behavior is not about one moment. It shows up in consistent actions that change how people participate and how the board functions over time.

Dominating every discussion. This looks like speaking first on every topic, jumping in quickly or continuing to talk after a point has already been made. Conversations start to revolve around one person instead of the group. Over time, others contribute less and the quality of decisions drops.

Dismissing or undermining others. This can be subtle. Brushing off ideas quickly, using sarcasm or reacting in a way that signals certain input is not valued. When this happens consistently, people stop speaking up and discussions become one-sided.

Creating constant friction. This shows up as pushing back on most decisions, revisiting topics that were already settled or escalating minor disagreements. Meetings start to feel heavier than they need to be and progress slows down.

Passive-aggressive or controlling behavior. This includes agreeing in meetings but resisting afterward, having side conversations to influence outcomes or trying to steer decisions indirectly. It creates confusion about what was actually decided and makes alignment harder.

Shifting the tone of the room. Sometimes the impact is not in what is said but how it feels. When certain people speak, the energy changes. Others hesitate, shorten their comments or choose not to engage at all. That is a sign the dynamic is affecting the group.

Toxic behavior builds over time through repetition. People start adjusting around one person instead of focusing on the work. At that point, the board is no longer operating as a group.

A strong board depends on how people work together. When one person consistently makes it harder to communicate, collaborate or make decisions, it affects the entire board.
